1. Introduction & Acceptance of Terms

Welcome to BizSoKae (accessible via https://gst.bizsokae.com and related subdomains), an online software platform owned, developed, and operated by BizSoKae Marketing and Engineering Services Private Limited (“Company”, “we”, “us”, or “our”), a private limited company incorporated under the laws of India.

By accessing, browsing, registering for, or using the BizSoKae platform, applications, or software tools, you (“User”, “Subscriber”, or “Customer”) agree to be legally bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, you must not use our software or services.

2. Scope of Services & Technology Provision

Pursuant to Clause 3(a)(4) of its Memorandum of Association (e-MOA), BizSoKae Marketing and Engineering Services Private Limited provides proprietary B2B SaaS software products, digital invoicing utilities, e-commerce data processing engines (Amazon, Meesho, Flipkart, Shopify sheet parsers), customer/product master databases, and offline data conversion tools.

3. User Account, Security & Eligibility

To access certain features of BizSoKae, you must register for an account. You represent and warrant that:

• You are at least 18 years of age and authorized to bind the business entity you represent.
• All information provided during registration (including legal name, email, PAN, and GSTIN) is accurate, current, and complete.
• You are responsible for maintaining the confidentiality of your account credentials and passwords.
• You will immediately notify BizSoKae of any unauthorized access or security breach of your account.

4. Subscription Fees, Invoicing & Payments

Access to premium features, high-volume sheet parsers, and multi-channel synchronization is provided under monthly or quarterly software subscription plans.

• All subscription prices are denominated and payable in Indian Rupees (INR / ₹), exclusive or inclusive of applicable GST as indicated at checkout.
• Payments are processed securely via RBI-authorized payment aggregators and payment gateways (including Cashfree Payments India Private Limited).
• Subscriptions automatically renew unless cancelled by the user prior to the billing renewal date through the dashboard.
• Digital software access and plan upgrades are delivered electronically and activated instantly upon confirmation of payment.

5. Intellectual Property Rights

All software, code, algorithms, visual interfaces, designs, trademarks, logos, and documentation comprising the BizSoKae platform are the exclusive intellectual property of BizSoKae Marketing and Engineering Services Private Limited. Users receive a limited, non-exclusive, non-transferable, revocable license to access the SaaS application for internal business operational use.

6. Acceptable Use & User Data

You retain full ownership of all data, invoices, customer records, and marketplace sheets you upload or generate on BizSoKae (“User Data”). You agree not to use the software to process fraudulent transactions, generate misleading invoices, or violate any applicable laws including the Goods and Services Tax Act, 2017, and the Information Technology Act, 2000.

7. Limitation of Liability

To the maximum extent permitted by Indian law, BizSoKae Marketing and Engineering Services Private Limited, its directors, employees, and affiliates shall not be liable for any indirect, incidental, punitive, or consequential damages, or loss of profits, data, or business opportunities arising from the use or inability to use the software. The Company’s total liability shall not exceed the subscription fees actually paid by the user in the three (3) months preceding the claim.

8. Governing Law & Jurisdiction

These Terms shall be governed by, construed, and enforced in accordance with the laws of the Republic of India. Any disputes or claims arising out of or in connection with these Terms or the use of BizSoKae shall be subject to the exclusive jurisdiction of the competent courts in the State of Madhya Pradesh / Maharashtra, India.
